For the purposes of this Agreement, the following terms shall have the meanings ascribed to them below:
By completing and submitting the Access Request Form, by checking the mandatory consent checkboxes on that form, or by accessing, downloading, or using the Source Code in any manner, you acknowledge that:
(a) you have read, understood, and agree to be bound by this Agreement in full;
(b) you have the legal capacity and authority to enter into this Agreement (and, if acting on behalf of a company or organisation, you have the authority to bind that entity);
(c) the timestamp recorded at the moment of your consent checkbox interaction constitutes a valid and legally sufficient electronic signature for the purposes of this Agreement.
The Licensor reserves the right to modify or update this Agreement at any time. The revised Agreement will be posted on the Licensor's website with an updated "Last Updated" date. Your continued use of the Source Code following any such update constitutes your acceptance of the revised terms. It is your responsibility to review this Agreement periodically.
You represent and warrant that you are at least 18 years of age. The Licensor does not knowingly provide Source Code to individuals under the age of 18.
When you submit the Access Request Form, we collect the following categories of information:

We process your Personal Data solely for the following purposes:
(a) Identity Verification & Access Control — To verify that you are a real, identifiable person, to prevent automated abuse, spam, and fraudulent access requests, and to maintain an accurate register of all Licensees.
(b) Delivery of Source Code — To send the requested Source Code to the email address you provide. Your email address is the delivery mechanism for fulfilling this Agreement.
(c) License Compliance & Legal Enforcement — To maintain an auditable record of who has been granted access to the Source Code, the terms they agreed to, and the timestamp of their consent, for the purpose of investigating and addressing any breach of this Agreement.
(d) Security & Abuse Prevention — To detect and prevent unauthorised access attempts, denial-of-service attacks, and other malicious activity.
(e) Legal Obligations — To comply with any applicable laws, regulations, court orders, or lawful requests from competent authorities.
We use FormSubmit.co as our form processing and email delivery service. When you submit the Access Request Form, your submitted data is transmitted to and processed by FormSubmit.co's servers.
We retain your Personal Data for as long as the license granted under this Agreement remains in force, or for as long as is necessary to enforce our legal rights, comply with applicable law, resolve disputes, and fulfil any other purpose for which it was collected — whichever period is longer.
The Source Code, including all underlying algorithms, architecture, design patterns, logic, documentation, and any and all Derivative Works created by the Licensor, is and shall remain the sole and exclusive intellectual property of Quanta. The Licensor retains all rights, title, and interest in and to the Source Code worldwide.
This Agreement grants you a limited license to use the Source Code. It does not constitute a sale of the Source Code or of any intellectual property rights therein. You acquire no ownership interest in the Source Code whatsoever.
All copies of the Source Code, including any permitted modifications, must retain the Licensor's original copyright notice(s) in their entirety. You shall not remove, alter, obscure, or destroy any copyright notices, proprietary legends, trademark notices, or other ownership markings.
Subject to your full and continuing compliance with all terms and conditions of this Agreement, the Licensor hereby grants to you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Source Code solely for the Permitted Use defined in Section 5.2.
The Source Code may be used only for the following purpose(s):
- Personal, non-commercial study, learning, and educational purposes only.
- Internal, non-commercial testing and evaluation within your organisation, provided no part of the Source Code is used in a production environment or deployed to end users.
Any use of the Source Code outside the scope of the Permitted Use defined above is a material breach of this Agreement and may expose you to civil and criminal liability.
You expressly agree that you shall not, and shall not permit, enable, or assist any third party to:
(a) Distribute, publish, or share the Source Code, or any portion thereof, in any form, by any means, or through any channel without prior express written permission from the Licensor;
(b) Share, forward, or otherwise transmit the email, download link, or any file delivered to you by the Licensor following form submission, with any other person or entity;
(c) Sell, resell, or commercially exploit the Source Code or any Derivative Work without prior express written permission from the Licensor.
(d) Sub-license, transfer, assign, delegate, or otherwise convey any of your rights or obligations under this Agreement to any third party without the Licensor's prior express written consent.
(e) Reverse-engineer, decompile, disassemble, or attempt to derive the source code from any compiled or obfuscated form of the software;
(f) Use the Source Code to build, train, or develop a competing product or service without the Licensor's prior express written permission.
The Source Code will be delivered to the email address provided on the Access Request Form. The Licensor makes reasonable efforts to process requests and deliver the Source Code in a timely manner. You are solely responsible for providing accurate and complete information.
THE SOURCE CODE IS PROVIDED TO YOU STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SOURCE CODE IS ENTIRELY AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, OR ANTICIPATED SAVINGS; OR LOSS, CORRUPTION, OR UNAUTHORISED DISCLOSURE OF DATA, ARISING OUT OF OR IN ANY WAY RELATED TO YOUR ACCESS TO OR USE OF THE SOURCE CODE.
You agree to defend, indemnify, and hold harmless Quanta and its affiliates from and against any and all claims, actions, demands, losses, damages, and expenses arising out of or relating to your access to or use of the Source Code, any breach by you of this Agreement, or any third-party claim arising from your use of the Source Code.
This Agreement is effective from the moment you submit the Access Request Form and continues in force until terminated. The Licensor may terminate your license immediately and without notice if you breach any term. Upon termination, you must promptly and permanently destroy all copies of the Source Code in your possession.
This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any dispute shall be resolved by the courts of the People's Republic of Bangladesh.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN ANY CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST THE LICENSOR.
This Agreement constitutes the entire agreement between the parties. No failure or delay by the Licensor in exercising any right shall operate as a waiver. If any provision is held invalid, the remaining provisions shall continue in full force and effect.
